About This Acceptable Use Policy

This Acceptable Use Policy ("AUP") sets out the personal commitments that each individual ("you") accepts when accessing or using the HQAlign Service on behalf of an organisation that holds an account with Us ("Customer").

This AUP was last updated on 6th May 2026.

The AUP forms part of, and is incorporated by reference into, Our Terms and Conditions (the "Terms"). The AUP applies to you personally; the Terms govern Our relationship with Customer (the organisation).

By accessing or using the Service, you accept this AUP. If you do not accept this AUP, you must not access or use the Service.

Defined terms used in this AUP but not defined here have the meanings given to them in the Terms. In particular:

  • "Customer" - the organisation that holds the HQAlign account under which you are accessing the Service;
  • "Service", "Platform", "We/Us/Our" - as defined in the Terms.

1. Who You Are (Authorised User)

1.1 You are an "Authorised User" of Customer if Customer has granted you access to the Service under Customer's account. This typically applies if you are an employee, contractor, agent, or other individual whose access has been authorised by Customer.

1.2 By accessing or using the Service, you confirm that:

  • you are an Authorised User of Customer;
  • you are accessing the Service in the course of Customer's business, trade, profession, or other organisational activity, and not for personal, household, or consumer purposes;
  • you have the authority of Customer to access the Service.

1.3 You do not become a party to the Terms in your personal capacity by virtue of accepting this AUP or accessing the Service. The Terms bind Customer; this AUP binds you personally in respect of the obligations set out below.

2. Information About Us

2.1 The Platform is operated by HQAlign Ltd. We are a limited company registered in England and Wales under company number 15815964. Our registered address is 71-75 Shelton Street, Covent Garden, London, UK.

2.2 We were previously incorporated under the name KanbanGenie Limited, and the Platform was previously made available under the name TaskVal at taskval.com. The change of company name was registered at Companies House on 5th May 2026, and the Platform was rebranded from "TaskVal" to "HQAlign" at the same time. The change is a change of name only. We are the same legal entity, with the same company number (15815964) and registered address as before. Any reference in any prior communication to "KanbanGenie Limited", "TaskVal", "TaskVal.com", or "KanbanGenie" shall, on and from 5th May 2026, be read as a reference to HQAlign Ltd or the Platform (as the context requires).

4. Lawful Use

4.1 You may only use the Service in a lawful manner. You must:

  • comply fully with any and all local, national, or international laws and regulations that apply to your use of the Service;
  • not use the Service in any way, or for any purpose, that is unlawful or fraudulent;
  • not use the Service to send, upload, store, or otherwise transmit any material that is unlawful, defamatory, threatening, harassing, discriminatory, obscene, or otherwise objectionable;
  • not use the Service in a manner that infringes the intellectual property rights, privacy rights, or other rights of any third party;
  • not use the Service to send unsolicited communications, spam, or other unauthorised marketing material.

5. Security and Credentials

5.1 You are responsible for the secure handling of any credentials issued to you for accessing the Service.

5.2 You must:

  • keep your account credentials confidential;
  • not share your account credentials with any other person, including other Authorised Users of Customer;
  • not use any other person's credentials;
  • notify Customer and Us promptly of any suspected unauthorised access to your account or any other credential compromise.

5.3 Customer may reassign a seat (account) from one Authorised User to another. When this happens: (a) the previous Authorised User's credentials must be revoked at the point of reassignment; and (b) the new Authorised User must be issued separate credentials and must accept this AUP before accessing the Service. One paid seat is for one human user at any one time.

5.4 You must not deliberately introduce viruses or other malware, or any other malicious or technologically harmful code, either to or via the Service.

5.5 You must not:

  • attempt to gain unauthorised access to any part of the Platform, the servers on which the Platform is stored, or any other server, computer, or database connected to the Platform;
  • attack the Platform by means of a denial-of-service attack, distributed denial-of-service attack, or by any other means;
  • attempt to disrupt or compromise the integrity, security, or availability of the Service.

5.6 By breaching any of clauses 5.4 or 5.5, you may be committing a criminal offence under the Computer Misuse Act 1990. Any such breach will be reported to the relevant law enforcement authorities, and We will cooperate fully with those authorities by disclosing your identity to them. Your right to use the Service will cease immediately in the event of such a breach.

6. Acceptable Use

6.1 You must not:

  • reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service, save to the extent permitted by sections 50B and 296A of the Copyright, Designs and Patents Act 1988;
  • use the Service to build, train, develop, or improve a product or service that competes with the Service;
  • exceed any fair-usage, capacity, or rate limits applied to the Service from time to time;
  • access the Service by any automated or scripted means except via APIs or integrations We have documented or expressly authorised;
  • use the Service to interfere with the use of the Service by any other user, or to gain unauthorised access to the data of any other Customer or user.

7. Personal Capacity Acknowledgement

7.1 You accept this AUP in your personal capacity. You are not personally party to the Terms. The Terms (including, without limitation, the liability cap, indemnification provisions, and Fees obligations) bind Customer.

7.2 You acknowledge that Customer is responsible to Us for your acts and omissions in connection with your use of the Service, as set out in the Terms.

8. Consequences Of Breach

8.1 If you breach this AUP, We may take one or more of the following actions in response:

  • suspend or terminate your access to the Service with immediate effect, with or without notice;
  • notify Customer of the breach;
  • take any action available to Us under the Terms (including suspension or termination of Customer's access if We reasonably consider that Customer has failed to ensure your compliance);
  • pursue legal remedies against you, including reimbursement of costs incurred on an indemnity basis;
  • disclose information about you to law enforcement authorities or other competent authorities as We reasonably consider necessary or as required by law;
  • any other actions which We deem reasonably appropriate (and lawful).

8.2 We exclude all liability arising out of any reasonable action taken by Us in good faith in response to your breach of this AUP.

9. Changes To This AUP

9.1 We may update this AUP from time to time. The "last updated" date at the top of this AUP will reflect any change.

9.2 Where the changes are material, We will take reasonable steps to bring them to your attention (for example, by email or by an in-product notice) before the changes take effect. Your continued use of the Service after the effective date of an updated AUP constitutes your acceptance of the updated AUP.

10. Law And Jurisdiction

10.1 This AUP, and the relationship between you and Us in respect of it (whether contractual or otherwise), shall be governed by, and construed in accordance with, the laws of England and Wales.

10.2 Any dispute, controversy, proceedings, or claim between you and Us relating to this AUP or to the relationship between you and Us shall be subject to the exclusive jurisdiction of the courts of England and Wales.
